These are the Terms of Service ("Terms") for Logue AI. These Terms are a legally binding contract between you and Data Lingo Solutions LLC, doing business as Logue AI ("Logue AI," "we," "us," or "our"), regarding your use of our AI-powered voice transcription and summarization application, our website at https://logue-ai.com, and related services (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. By creating an account, or by downloading, installing, accessing, or using the Service, you agree that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
AI OUTPUTS CAN BE WRONG. The Service relies on artificial intelligence, which makes mistakes. Transcriptions, summaries, and other outputs may be inaccurate, incomplete, or misleading, and are not professional advice. You are solely responsible for reviewing outputs and for any decision you make based on them. Neither Logue AI nor anyone associated with it is responsible for your reliance on AI-generated outputs. See Section 11.
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that you are not barred from using the Service under applicable law.
To access most features of the Service, you must create an account. You agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@logue-ai.com of any unauthorized use of your account.
The Service lets you turn recorded voice conversations into transcribed notes and summaries using artificial intelligence, including generative AI. You may use a free version of the Service ("Free Service") subject to usage limits, or purchase one-time processing-time packages that add processing minutes to your account ("Paid Service"). The Service uses third-party artificial intelligence providers, including OpenAI, to process your audio recordings and generate transcriptions and other outputs. We may add, change, or discontinue features of the Service at any time.
4.1 One-Time Packages. The Paid Service is offered as one-time purchases of processing-time packages. Logue AI does not sell subscriptions, and we do not automatically charge you on a recurring basis. Each purchase is a separate, one-time transaction. The price and the processing time included in each package are shown to you before you complete your purchase.
4.2 Billing. Payments are processed by our third-party payment processors, including Stripe, and by Apple or Google if you purchase through a mobile app store. By making a purchase, you authorize the applicable processor to charge your selected payment method for the total amount shown, including any applicable taxes. All fees are stated in U.S. Dollars unless otherwise indicated.
4.3 Refunds. Purchased processing-time packages may be refundable in accordance with our Refund & Cancellation Policy. Except as provided in that policy or as required by applicable law, fees are non-refundable. Purchases made through the Apple App Store or Google Play may instead be subject to the refund policies of those stores.
4.4 Pricing Changes. We may change the price of any package or feature at any time. Price changes do not affect purchases you have already completed.
5.1 License to You. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Logue AI application on a device you own or control, and to access and use the Service for your own use.
5.2 Restrictions. Except as permitted by applicable law, you may not: (a) copy, distribute, or publicly display the Service; (b) modify, reverse engineer, or create derivative works of the Service; (c) interfere with or circumvent any security or access-control feature of the Service; or (d) use the Service in violation of any usage limits or these Terms.
The Service, including its software, interfaces, designs, and all related materials (the "Materials"), is owned by Logue AI or its licensors and is protected by intellectual property laws. We reserve all rights not expressly granted to you. If you provide us with feedback or suggestions about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without obligation to you.
As between you and Logue AI, you own the audio recordings, transcriptions, and other content you provide to or generate through the Service ("User Content"). You grant us a license to host, store, process, transmit, and use your User Content solely as needed to provide and improve the Service and as described in our Privacy Policy. You are responsible for your User Content and for ensuring you have all rights and consents necessary to provide it. If a recording contains the voice or personal information of another person, you are responsible for obtaining all required notices and consents from that person before using the Service, including any consent required under biometric privacy laws.
The Service relies on third-party providers, including cloud hosting (such as Amazon Web Services), artificial intelligence providers (such as OpenAI), payment processors (such as Stripe), and mobile app stores (Apple and Google). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services or content.
You agree not to use the Service to: (a) violate any law or the rights of others; (b) upload content you do not have the right to provide, or record any person without required consent; (c) upload malicious code or interfere with the operation or security of the Service; (d) attempt to gain unauthorized access to the Service or other users' accounts; or (e) use the Service to harass, defraud, or harm others. We may investigate and take appropriate action, including suspending or terminating your account, for any violation.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if we are required to do so by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
11.1 General. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
11.2 AI-Generated Outputs; No Reliance. The Service uses artificial intelligence, including third-party AI models, to generate transcriptions, summaries, and other outputs. Artificial intelligence can and does make mistakes. Outputs may be inaccurate, incomplete, taken out of context, or otherwise unreliable, and may not reflect what was actually said or intended. Outputs are provided for your convenience only, do not constitute professional, legal, medical, financial, or other advice, and must not be relied upon as the sole basis for any decision. You are solely responsible for reviewing, verifying, and correcting outputs, and for all decisions and actions you take based on the Service. To the maximum extent permitted by law, neither Logue AI nor any of its owners, members, officers, employees, contractors, agents, affiliates, licensors, or suppliers is responsible or liable for any errors or omissions in AI-generated outputs, or for any loss, harm, or damages resulting from your reliance on them.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGUE AI AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless Logue AI and its owners, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or the rights of any third party.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information, including biometric data such as voiceprints. Please review it carefully. By using the Service, you acknowledge the data practices described in the Privacy Policy.
We may modify these Terms from time to time. If we make material changes, we will provide notice, such as by email or through the Service, before the changes take effect, and we will update the "Effective" date above. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service.
16.1 Informal Resolution. If you have a dispute with us, please first contact us at support@logue-ai.com so we can try to resolve it informally. We will make good-faith efforts to resolve any dispute directly.
16.2 Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
16.3 Venue. You and Logue AI agree that any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you and Logue AI consent to the personal jurisdiction of those courts. To the extent permitted by law, you and Logue AI each waive any right to a jury trial.
17.1 Entire Agreement. These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the entire agreement between you and Logue AI regarding the Service and supersede any prior agreements.
17.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
17.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
17.4 Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5 Electronic Communications. By using the Service, you consent to receive communications from us electronically, and you agree that electronic notices satisfy any legal requirement that such communications be in writing.
17.6 Notice to California Residents. Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210.
17.7 Contact. The Service is offered by Data Lingo Solutions LLC (doing business as Logue AI). You may contact us by email at support@logue-ai.com.
This Section 18 applies to the extent you use our mobile application on an iOS device. You acknowledge that these Terms are between you and Logue AI only, not with Apple Inc. ("Apple"), and that Apple is not responsible for the Service or its content. Apple has no obligation to furnish any maintenance or support services for the Service. If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund any applicable purchase price for the mobile application to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service. Apple is not responsible for addressing any claims by you or any third party relating to the Service, including product liability claims, claims that the Service fails to meet any legal or regulatory requirement, and claims under consumer protection or similar laws. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the Service infringes intellectual property rights. You agree to comply with any applicable third-party terms when using the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that: (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
